Craig Seymour Building Services – Terms and Conditions
These Terms and Conditions (“Agreement”) outline the terms under which Craig Seymour Building Services, hereinafter referred to as “CSBS,” provides construction and building services to clients. By engaging the services of CSBS, the client acknowledges and agrees to abide by the terms outlined below:
1. Services and Scope of Work:
A. CSBS agrees to provide construction and building services as detailed in the project proposal or contract. b. Any changes or alterations to the scope of work must be agreed upon in writing by both parties.
2. Payment:
A. The client agrees to adhere to the payment schedule specified in the project proposal or contract.
B. Timely payments are essential to maintain project progress; delays may impact the project timeline.
C. Additional charges may apply for any modifications or additions to the project scope not initially covered in the contract.
3. Project Schedule:
A. CSBS will provide an estimated project schedule, striving to meet deadlines.
B. Delays resulting from factors beyond CSBS’s control, such as adverse weather conditions, regulatory approvals, or unforeseen site circumstances, shall not be the responsibility of CSBS.
4. Materials and Subcontractors:
A. CSBS will provide required construction materials and engage subcontractors as necessary.
B. Materials’ quality and type will conform to project specifications and the contract.
C. CSBS reserves the right to substitute materials or subcontractors of equal or superior quality, if deemed necessary.
5. Changes and Modifications:
A. Any proposed project changes or modifications must be submitted in writing by the client.
B. CSBS will provide an estimate of cost and time implications for approved changes. Work on modifications will commence upon client’s written consent.
6. Client’s Responsibilities:
A. The client must grant access to the construction site and utilities essential for the project.
B. The client shall secure any required permits, approvals, or licenses for the project.
C. Ensuring construction site safety and security during the project falls under the client’s purview.
7. Warranties:
A. CSBS warrants that all work will be conducted in a skilled and professional manner.
B. CSBS agrees to rectify any defects or issues stemming from the construction work within a reasonable timeframe following notification.
8. Termination:
A. Either party may terminate the contract with written notice in the event of a material breach by the other party.
B. Termination shall not absolve the client’s obligation to compensate for work performed up to the termination date.
9. Liability:
A CSBS shall not be held liable for damages or losses resulting from factors outside their control, including acts of nature, accidents, or actions by third parties.
10. Confidentiality: Both parties commit to maintaining the confidentiality of proprietary or sensitive information disclosed during project collaboration.
11. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of laws principles.
By accepting CSBS’s services, the client acknowledges having read, understood, and agreed to these Terms and Conditions. This Agreement constitutes the complete understanding between the parties, superseding all prior agreements, whether written or oral. Modifications to this Agreement require written approval and signature from both parties.
